Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TALOS MaiND platform and TALOS Agents technology (“Services”) provided by CPCS Technologies Limited, trading as ICON Platforms (“Company”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. Definitions

• "Services":The TALOS MaiND platform, TALOS Agents technology, APIs, websites, and any related software provided by the Company.
• "Customer" / "You":The individual or organisation that accesses or uses the Services.
• "End User":Any person who interacts with a TALOS Agent deployed by a Customer.
• "Content":Text, data, information, and other materials submitted to or generated by the Services.
• "Subscription":A paid plan granting access to Services for a defined period.
• "Agent":An AI-powered conversational agent created and deployed using the TALOS platform.

2. Account Registration

To access the Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access at legal@iconplatforms.com
• Ensuring that all users within your organisation comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

3. Subscription and Payment

3.1 Subscription Plans

Services are provided on a subscription basis. Plan details, pricing, and included features are described at talosmind.ai/pricing. We reserve the right to modify pricing with 30 days' notice.

3.2 Development and Integration

Agent development, integration, and initial deployment are provided at no additional charge under all subscription plans. You pay only the monthly or annual subscription fee per active deployed agent.

3.3 Payment Terms

• Subscriptions are billed in advance (monthly or annually)
• Payment is processed via Stripe. By subscribing, you authorise recurring charges
• All fees are non-refundable except as required by law or as stated in our refund policy
• Failure to pay may result in suspension of Services after a 7-day grace period

3.4 Free Trial

We may offer a free trial period. At the end of the trial, you will be charged unless you cancel before the trial ends. No credit card is required to start a trial.

4. Permitted Use

You may use the Services to:

• Create and deploy AI agents for legitimate business purposes
• Integrate agents with your own products and services
• Process conversations between agents and your end-users

4.1 Prohibited Uses

You must not use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Generate, transmit, or store illegal, harmful, or abusive content
• Attempt to circumvent, hack, or reverse-engineer the platform
• Resell or sublicense the Services without our written consent
• Use the Services to train competing AI models
• Impersonate individuals, organisations, or government entities
• Deploy agents for spam, phishing, or deceptive practices
• Process data in violation of applicable privacy laws

5. Intellectual Property

5.1 Our IP

The TALOS MaiND platform, TALOS Agents technology, and all associated software, designs, and documentation are owned by CPCS Technologies Limited or its licensors. These Terms do not grant you any ownership rights. “TALOS MaiND”, “TALOS Agents”, and “ICON Platforms” are trademarks of CPCS Technologies Limited.

5.2 Your Content

You retain ownership of all content you submit to the Services, including knowledge base documents, agent configurations, and conversation data. You grant us a limited licence to process your content solely to provide the Services.

5.3 Feedback

If you provide feedback or suggestions, you grant us an irrevocable, royalty-free licence to use that feedback without restriction or obligation.

6. Data Processing

Our collection and use of personal data is governed by our Privacy Policy. For business customers deploying agents that process end-user personal data, a Data Processing Agreement (DPA) is available upon request.

You are responsible for ensuring you have appropriate legal basis to process end-user data through TALOS Agents, including providing required notices and obtaining necessary consents.

7. Service Availability

We target 99.9% uptime (excluding scheduled maintenance) and use automatic AI provider failover to maximise availability. However, we do not guarantee uninterrupted access to the Services.

Scheduled maintenance will be announced with at least 48 hours' notice where possible. Emergency maintenance may be performed without prior notice where required for security or operational integrity.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Disclaimer of warranties: The Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.
• Limitation of liability: Our total liability for any claim arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
• Exclusion of consequential damages: We shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless CPCS Technologies Limited, its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services in violation of these Terms
• Content you submit to or generate through the Services
• Your agents' interactions with end-users
• Your violation of any applicable law or third-party rights

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your access immediately if you materially breach these Terms, or with 30 days' notice for any other reason. We will provide a pro-rated refund for prepaid periods where we terminate without cause.

10.3 Effect of Termination

Upon termination, your access to the Services ceases. You may request an export of your data within 30 days of termination; thereafter, data will be deleted per our retention policy.

11. Governing Law and Disputes

These Terms are governed by the laws of the Hellenic Republic (Greece), without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Athens, Greece, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and/or by posting a notice on our website at least 30 days before material changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
